Pandox Aktiebolag (publ) nomination committee for the AGM 2027

In accordance with the decision at Pandox’s annual general meeting in 2026, Pandox’s nomination committee for the annual general meeting 2027 shall consist of members appointed by the four, per 31 July 2026 by voting rights, largest shareholders according to the shareholders’ register held by Euroclear Sweden, and the chairman of the board. The chairman of the board shall also summon the first meeting of the nomination committee. If a shareholder, who is entitled to appoint a member of the nomination committee, waives its right from appointing a member, the right to appoint a member shall pass to the largest shareholder who was previously not entitled to appoint a member to the nomination committee. In line with the above, Helene Sundt AB and Christian Sundt AB have appointed a joint member of the nomination committee. The member appointed by the largest shareholder by voting rights shall be appointed chairman of the nomination committee. The composition of the nomination committee shall be publicly announced no later than six months before the next annual general meeting. No remuneration shall be payable.

The nomination committee has been formed in accordance with the principles adopted by the annual general meeting and has the following composition:

- Anders Ryssdal, Eiendomsspar AS (Chairman of the nomination committee)

- Leiv Askvig, Helene Sundt AB and Christian Sundt AB jointly

- Christian Ringnes, Chairman of the board of Pandox Aktiebolag (publ)

- Dick Bergqvist, AMF

- Camilla Wirth, Alecta

Shareholders who would like to submit proposals to the nomination committee regarding the composition of the board can do so by e-mail to [email protected] or by letter to Pandox AB, Valberedning, P O Box 15, SE-101 20 Stockholm, no later than 14 January 2027.

The proposals of the nomination committee will be presented in the notice of the annual general meeting for 2027 and will be published on Pandox’s website. The annual general meeting will be held in Stockholm 14 April, 2027.
